Cybernip operates through two legal entities that share one engineering team, one set of standards and one leadership. This page describes how the firm is structured, how decisions are made and what we commit to.

Structure

Cybernip México is incorporated under Mexican law, with its registered office in Mexico City and its engineering centre in Guadalajara. It contracts with clients in Mexico and Latin America.

Cybernip, LLC is a limited liability company formed in the State of Texas, United States, with its office in Houston. It contracts with clients in the United States and with international clients who prefer a US counterparty.

The two entities are under common ownership and management. There is no separate holding company. Each client contracts with one entity, and that entity is responsible for the engagement.

Independence and responsibility

Each entity keeps its own accounts, tax filings and legal obligations and is solely responsible for its activities in its jurisdiction. Engineers may be assigned to work for either entity under written arrangements that preserve confidentiality and data protection obligations.

Client data is never pooled between entities. Where an engagement spans both jurisdictions, data processing arrangements are agreed in the contract and follow the stricter of the two legal frameworks.

Leadership and decision-making

The firm is led by its founders, who serve as directors of both entities. Technical decisions that affect clients, including model selection, platform recommendations and security architecture, are reviewed by a senior engineer who is not on the delivery team.

We do not accept referral fees, resale margins or incentives from cloud or model providers for recommending their products. Partnerships, including our Microsoft AI Cloud Partner status, are disclosed to clients and do not influence the evidence we present.

Principles

  • Transparency with clients about scope, price, risk and the limits of what we know.
  • Compliance with the laws of each jurisdiction, including Mexico's LFPDPPP, applicable US federal and Texas law, and the GDPR where we process data of people in the European Union.
  • Protection of client data: we work inside the client's cloud tenancy and do not copy client data to our own systems.
  • Responsible use of AI: agents we build operate under explicit permissions, keep complete audit trails, and route consequential decisions to people.
  • Fair treatment of our engineers, including continuous training and no exclusivity clauses that would prevent them from working for a client after an engagement.

Compliance and reporting

Concerns about our conduct, a possible conflict of interest or a data protection matter can be raised with [email protected]. Reports are reviewed by a director who is not involved in the engagement concerned, and the person raising the concern receives a written response.
